URS Corp. Deal Litigation, C.A. Nos. 9921-CB, 9924-CB, 9938-CB, 9939-CB, 9975-CB, 9998-CB, 9999-CB (Del. Ch. 2014)

Ross Aronstam & Moritz, together with Wachtell, Lipton, Rosen & Katz, represented URS Corporation and its directors in connection with stockholder litigation challenging URS's acquisition by AECOM in a merger valued at approximately $6 billion.  Before closing, the stockholder plaintiffs moved for expedited proceedings in support of a motion for preliminary injunction to enjoin the transaction.  Defendants opposed the motion to expedite.  On August 5, 2014, the Court of Chancery denied expedition.  On August 28, 2014, after a different stockholder filed a second motion to expedite, the Court of Chancery again denied expedition.  All plaintiffs voluntarily dismissed their claims.
